Her experiences include the practice of corporate and business laws from reputable law firm, the practice of corporate structuring, corporate governance and legal team management from big organizations, and the practice of company secretary from listed companies.
She is aware that the Thai Securities and Exchange Act requires a board of directors of a listed company in the Stock Exchange of Thailand (SET) to appoint a company secretary in orderto perform the roles of an advisor and a gate keeper according to rules of the SET and the SEC for the board and executives. Unfortunately, Pat learned that company secretaries are not enough to serve listed companies in the SET and companies who are preparing for the listing.
Although the laws in relation to private organizations do not specify the qualifications of a company secretary, many competent authorities are aware of the importance of having experienced company secretaries attending the board meetings, in order to provide compliance and governance advice to the board of directors. Currentlythe Thai Institute of Directors recommends that company secretaries should have knowledge about laws or accountings.
With the love and dedication to the profession of company secretary, enhanced by her legal and compliance experiences, Pat commits to provide advisory services to the boards and coaching a young team of company secretaries. She dedicates herself in the development of the company secretary profession in Thailand. She believes that listed companies in the SET not only have to comply with the laws, but they shall give importance to the corporate governance as a means of providing trust the investors and minority shareholders.
